No — the entire process can be completed remotely. Documents can be signed electronically or sent by courier. No physical presence in HK is required for incorporation.
Can a foreigner own 100% of a HK company?
Yes. HK imposes no nationality or residency restrictions on company ownership. A foreigner can own 100% with no local partner, nominee director, or HK-resident shareholder required.
What is the minimum share capital?
There is no minimum paid-up share capital in HK. Most companies incorporate with share capital between HKD 1 and HKD 10,000.

What is the Hong Kong Profits Tax rate?
Standard rate is 16.5% for corporations. Two-tier regime: 8.25% on the first HKD 2 million of assessable profits; 16.5% above that. Only one entity per group qualifies for the lower rate.
Does a HK company pay tax on income earned outside Hong Kong?
No. HK operates a territorial tax system. Only profits arising in or derived from HK are subject to Profits Tax. Offshore income is not taxable in HK, but proper evidence must support the claim.
Is there GST or VAT in Hong Kong?
No. Hong Kong has no GST, VAT, or any form of sales tax.
Is a statutory audit mandatory?
Yes. All companies incorporated in HK must have their financial statements audited by a HK CPA. There is no minimum threshold — the requirement applies regardless of size or activity level.

Why does a HK company need a company secretary?
Section 474 of the Companies Ordinance (Cap. 622) requires every company incorporated in HK to appoint a company secretary who is ordinarily resident in HK, or a body corporate with a registered office or place of business in HK.
What is an Annual Return and when must it be filed?
The Annual Return (Form NAR1) must be filed with the Companies Registry within 42 days of the company's return date — usually its anniversary of incorporation. It records key company particulars. Late filing attracts higher fees.
What is the Significant Controllers Register?
All HK companies must maintain a SCR identifying individuals or entities with significant control — generally 25%+ shares, voting rights, or appointment rights. Updates required within 7 days of any change. Non-compliance is a criminal offence.

The Investment Visa allows non-HK permanent residents to enter and remain in HK to establish or join a business. The applicant must demonstrate the business benefits HK's economy, sufficient capital is invested, and the role cannot be filled locally.

The IANG scheme allows non-local graduates of HK institutions, and certain overseas university graduates, to stay or come to HK for up to 24 months without a specific job offer to seek employment or start a business.

Investment Visa: typically 4–6 weeks. Employment Visa: typically 4–6 weeks. Processing times vary; the Immigration Department does not commit to specific timelines.
