Frequently Asked Questions

Why must the company secretary be ordinarily resident in HK?
Section 474 of the Companies Ordinance requires every private company to appoint a company secretary who is ordinarily resident in HK, or a body corporate with a registered office or place of business in HK.
What happens if the Annual Return is filed late?
Late filing attracts higher registration fees and may lead to company deregistration or prosecution of the company and its officers. We file well ahead of every deadline.
What is the Significant Controllers Register?
All HK companies must maintain a SCR identifying individuals or entities with significant control — generally 25%+ shares, voting rights, or appointment rights. Updates required within 7 days. Non-compliance is a criminal offence.
Can a director also be the company secretary?
No — for private companies, the sole director cannot also serve as company secretary.
